Terms and conditions

These Terms of Service ("Terms") govern your use of our meeting scheduling application and related websites (together, the "Service"), operated by Agile Falcon Strategic Group LLC, a Virginia limited liability company ("we", "us", "our").

Please read these Terms carefully. By creating an account or using the Service, you agree to be bound by them. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years old and capable of entering into a binding contract to use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

2. Your account

• You must provide accurate and complete information when creating an account, and keep it up to date.
• You are responsible for keeping your password confidential and for all activity that occurs under your account.
• You must notify us promptly at su*****@***********sg.com if you believe your account has been accessed without your authorisation.
• You may not share your account, transfer it to another person, or create an account on behalf of someone else without their permission.

3. Using the Service

The Service allows you to publish your availability, request meetings with other participants, and accept, decline or cancel meeting requests.

3.1 Your commitments

• Meetings you accept are commitments to other people. If you cannot attend, cancel as early as you reasonably can so the other participant can use the time.
• Keep your availability accurate.
• Repeated failure to attend accepted meetings without notice may result in restriction or suspension of your account.

3.2 Acceptable use

You agree not to:

• use the Service for any unlawful purpose, or in breach of any applicable law or regulation;
• harass, abuse, threaten, defame or impersonate any person;
• send unsolicited commercial messages, spam, or bulk meeting requests;
• upload anything containing viruses or other harmful code;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• scrape, harvest or collect information about other users, whether manually or by automated means;
• interfere with or disrupt the Service, or place unreasonable load on our infrastructure;
• reverse engineer, decompile or attempt to derive the source code of the Service;
• resell, sublicense or commercially exploit the Service without our written permission.

4. Your content

You retain ownership of the content you submit — your profile information, meeting notes, and messages. By submitting content, you grant us a worldwide, non-exclusive, royalty-free licence to host, store, reproduce and display that content solely for the purpose of operating and providing the Service.

You are responsible for your content. You represent that you have the necessary rights to it and that it does not infringe anyone else's rights or violate any law.

We may remove content that breaches these Terms, but we have no obligation to monitor content and do not endorse anything users submit.

5. Our intellectual property

The Service, including its software, design, text, graphics, logos and trademarks, is owned by Agile Falcon Strategic Group LLC or our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. Nothing in these Terms transfers ownership of anything to you.

6. Availability of the Service

We work to keep the Service available and reliable, but we do not guarantee uninterrupted availability. The Service may be unavailable during maintenance, or as a result of technical problems, network failures, or events outside our reasonable control.

We may modify, suspend or discontinue any part of the Service at any time. Where a change materially affects you, we will give reasonable notice where we can.

The Service may link to or integrate with services operated by third parties, such as calendar providers. We are not responsible for those services, their content, or their privacy practices. Your use of them is governed by their own terms.

You agree to indemnify and hold harmless Agile Falcon Strategic Group LLC and its officers, members, employees and agents from any claims, damages, losses, liabilities and expenses, including reasonable legal fees, arising from your use of the Service, your content, or your breach of these Terms.

You may stop using the Service and delete your account at any time — see our Account Deletion page.

We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Where practical and lawful, we will give you notice.

Sections that by their nature should survive termination will do so, including Sections 4, 5, 8, 9, 10 and 12.

12. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to its conflict of laws rules. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Virginia, and you consent to the jurisdiction of those courts.

We may update these Terms from time to time. We will post the updated version on this page and change the "Last updated" date. If the changes are material, we will notify you before they take effect. Continuing to use the Service after changes take effect means you accept the updated Terms.

• Entire agreement — these Terms and our Privacy Policy are the entire agreement between you and us regarding the Service.
• Severability — if any provision is found unenforceable, the rest remains in effect.
• No waiver — our failure to enforce a provision is not a waiver of our right to do so later.
• Assignment — you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition or sale of assets.
